The Practice

The firm advises buyers, sellers, founders, management teams, investors, and public companies across a broad range of domestic and cross-border corporate transactions, including:

What You'll Do

You will serve as lead transaction counsel on sophisticated middle-market M&A matters, including:

• Structuring, negotiating, and closing mergers, acquisitions, and divestitures
\n
• Drafting and negotiating LOIs, purchase agreements, disclosure schedules, and ancillary transaction documents
\n
• Leading due diligence and coordinating multidisciplinary transaction teams
\n
• Advising buyers, sellers, boards, and management throughout the transaction lifecycle
\n
• Managing negotiations with opposing counsel and business principals
\n
• Working closely with the firm's securities, tax, finance, employment, and regulatory attorneys on integrated transactions
\n
• Counseling clients on post-closing integration, governance, and strategic growth initiatives
\n

This is a front-line deal role with significant client contact and transaction responsibility.
